TERMS OF USE & APPLICATION AGREEMENT

These Terms (“Agreement”) govern access to and use of any web property owned by JCK Records LLC (“JCK,” “we,” “our,” “us”), including jckrecordlabel.com, stageclimb.jckrecordlabel.com, portal.stageclimb.jckrecordlabel.com, and any vanity sub-domain under u.stageclimb.jckrecordlabel.com (collectively, the “Sites”). By visiting the Sites, submitting a StageClimb™ application, or participating in StageClimb, you (“Artist,” “you,” “your”) agree to be bound by this Agreement.

2. Eligibility & Independent Status

 • You confirm you are at least 18 years old (or age of majority where you live) and have the authority to enter this Agreement.

 • You are not bound by any exclusive recording, publishing, or management contract that conflicts with StageClimb.

 • No employment, partnership, or fiduciary relationship is created; you remain an independent contractor unless a separate written contract is signed.

3. Application, Selection & Fees

 • StageClimb Level 1 (Launch) resources are provided free of charge.

 • Submitting an application does not guarantee selection for Level 2, Level 3, or any deal; all decisions are solely JCK’s.

 • Any formal recording, publishing, distribution, or merchandising agreement will be documented in a separate contract setting out royalties, advances, recoupment, and other terms.

4. Intellectual-Property License

 • You retain all rights in music, lyrics, artwork, photos, and other materials you provide (“Artist IP”).

 • You grant JCK a revocable, worldwide, royalty-free, non-exclusive licence to:

  – stream or download Artist IP privately for A&R review;

  – share Artist IP with mentors and staff under nondisclosure;

  – use up to thirty (30) seconds of audio or visual excerpts, plus your name and likeness, in StageClimb promotional posts announcing application status or cohort milestones.

 • If you withdraw or are declined, JCK will cease new uses of Artist IP within thirty (30) days; previously published social-media posts may remain archived.

5. Communications Consent

 • You consent to receive email, SMS, WhatsApp, and phone messages regarding application status, StageClimb content, events, and opportunities. Opt-out links are in every marketing message.

 • System notices (password resets, signature requests) will continue even if you opt out of marketing.

6. Referral & Ambassador Program

 • Referral codes may credit another Artist for an incentive.

 • Rewards are paid only on revenue actually received by JCK and where permitted by law.

 • Fraudulent referrals (fake accounts, bots, incentivised clicks) void rewards and may result in removal from StageClimb.

7. Code of Conduct

 • Maintain a respectful, harassment-free environment in all StageClimb spaces (Discord, WhatsApp, livestreams).

 • Hate speech, spam, illegal activity, or sharing confidential material without permission is prohibited.

 • JCK may remove, mute, or ban any participant who violates this Code.

8. Confidentiality

 • “Confidential Information” means non-public data marked confidential or reasonably understood as such (e.g., marketing plans, unreleased tracks).

 • You must not disclose Confidential Information for two (2) years after receipt, except as required by law.

9. Warranties & Indemnification

 • You warrant that you own or control all rights in submitted content and that it does not infringe any third-party rights.

 • You will indemnify and hold harmless JCK, its officers, employees, mentors, and affiliates from any claim arising out of your breach of this Agreement.

10. Privacy, DMCA & Disclaimers

• JCK does not guarantee any specific career outcome, playlist inclusion, revenue, or audience growth.

11. Limitation of Liability

 To the fullest extent permitted by law, JCK is not liable for indirect, incidental, punitive, or consequential damages. JCK’s total cumulative liability under this Agreement will not exceed USD 100.

12. Term & Termination

 • This Agreement begins when you access the Sites or submit an application and continues until terminated.

 • Either party may terminate by written notice at any time. Sections 4, 5, 6, 8, 9, 10, 11, 13, and 14 survive termination.

13. Governing Law & Dispute Resolution

 • This Agreement is governed by the laws of the State of Arizona, USA.

 • Any dispute not resolved informally will be decided by binding arbitration in Maricopa County, Arizona, under AAA Commercial Rules. Judgment on the award may be entered in any competent court.

 • Either party may seek injunctive relief in court to protect intellectual-property or confidentiality rights.

14. Updates to These Terms

 We may modify these Terms at any time. Changes take effect on the “Last updated” date. Material changes will be announced by email or prominent notice. Continued use of the Sites after changes constitutes acceptance.
